Preamble
Whereas Vakilify (hereinafter referred to as “we” or “our”), a platform conceptualized to bridge the gap between citizens and legal counsel through the medium of technology, offers services as an intermediary;
And whereas Vakilify, while not itself a law firm, seeks to facilitate access to justice, legal understanding, and professional consultation;
Now, therefore, these Terms and Conditions (hereinafter referred to as “Terms”) shall govern the relationship between Vakilify and all persons accessing or using its platform, website, mobile application, or services thereof (hereinafter “Users”).
Clause 1: Nature of Services
Vakilify operates a digital platform that:
- Connects Users with independent legal professionals, duly enrolled and qualified under the Advocates Act, 1961;
- Facilitates appointment scheduling, document preparation, and access to legal resources;
- Offers no legal advice, opinion, representation, or assurance in its own capacity.
- Vakilify does not and shall not engage in the practice of law, nor claim to offer legal advice. Legal services are rendered solely by third-party advocates, with whom the client may independently establish a professional relationship.
Clause 2: Eligibility and Capacity
- Only persons above 18 years of age, possessing full civil capacity under the Indian Contract Act, 1872, may register, access, or utilize the Platform.
- Persons of unsound mind or those otherwise disqualified by law may not engage with Vakilify without legal guardianship or court authorization.
Clause 3: Registration and User Responsibility
A User, upon registration, agrees to:
- Furnish authentic, accurate, and complete particulars;
- Maintain confidentiality of login credentials;
- Bear full liability for any activity conducted through their account, unless demonstrably unauthorized.
- Vakilify reserves the right to suspend or terminate any account suspected of impersonation, fraud, or misuse.
Clause 4: Lawyer-Client Relationship
Vakilify is not a party to any agreement entered into between the User and any advocate listed on the platform.
- The engagement, advice, or counsel received is entirely between the User and the lawyer.
- Vakilify bears no liability, vicarious or direct, for acts or omissions of said legal professionals.
- All interactions must be conducted in accordance with the Bar Council of India Rules, ethical mandates, and the Advocates Act.
Clause 5: Fees, Payments & Refunds
- Vakilify may facilitate online payments via licensed gateways. Fees displayed shall include taxes where applicable.
- Vakilify does not control the fees set by independent legal professionals.
- Refunds, if any, are governed by a transparent refund policy available on the platform.
- Vakilify disclaims responsibility for monetary disputes arising between clients and lawyers.
Clause 6: Prohibited Conduct
The User expressly agrees not to:
- Use the platform for solicitation, advertising, or unlawful propagation;
- Upload or transmit any defamatory, obscene, or seditious material;
- Breach the sanctity of lawyer-client confidentiality;
- Engage in scraping, reverse-engineering, or tampering with the Platform.
- Violation shall empower Vakilify to pursue appropriate legal and injunctive remedies.
Clause 7: Intellectual Property
All original content, trademarks, logos, proprietary algorithms, and digital architecture belong exclusively to Vakilify.
No part may be copied, reproduced, stored, or transmitted in any form without express written permission.
Any unauthorized use constitutes infringement and shall be prosecuted under applicable intellectual property laws.
Clause 8: Privacy and Data Protection
Vakilify implements technical and organizational safeguards, including but not limited to:
- Vakilify shall collect and process data strictly in accordance with its Privacy Policy and in harmony with the Digital Personal Data Protection Act, 2023.
- No sensitive personal data shall be disclosed to third parties, except with consent or legal compulsion.
- All communications on the platform are encrypted and maintained with utmost professional integrity.
Clause 9: Disclaimer of Warranties
Vakilify provides access “as is” and “as available”, without warranties of any kind, whether express or implied.
Vakilify makes no guarantees as to legal outcomes, professional conduct, or procedural success.
Clause 10: Limitation of Liability
Under no circumstance shall Vakilify, its directors, employees, or agents be liable for:
- Any indirect, incidental, or consequential damages;
- Loss of reputation, business, or goodwill;
- Allegations arising from third-party services, including those by legal professionals.
- Maximum liability, if any, shall be limited to the amount paid by the User to Vakilify within the previous 30 days.
Clause 11: Indemnity
The User agrees to indemnify, defend, and hold harmless Vakilify from any loss, liability, claim, or demand arising out of:
- Violation of these Terms;
- Misuse of the platform;
- Disputes with third-party legal professionals.
Clause 12: Termination
Vakilify reserves the right to suspend, restrict, or permanently terminate a User’s access without prior notice upon breach of:
- These Terms;
- Applicable laws;
- Directions of a competent legal authority.
Clause 13: Jurisdiction and Governing Law
These Terms shall be governed by the laws of the Republic of India.
All disputes arising herein shall lie exclusively before the courts of [Insert Jurisdiction, e.g., New Delhi], to the exclusion of all other forums.
Clause 14: Amendments
Vakilify reserves the sovereign right to amend these Terms at its sole discretion.
Such changes shall be notified on the Platform and shall come into effect upon publication. Continued use constitutes acceptance.
